Initial Terms and Conditions for HITC.
Head In The Clouds (Pty) Ltd ("HITC", "we", "us", "our") operates a consumer trial marketplace that connects consumers ("Clouds") with brands and retailers in South Africa. By registering as a Cloud, you agree to these Terms and Conditions in full.
HITC is registered in South Africa. These terms are governed by South African law.
You must be 18 years or older to register as a Cloud. By completing registration you confirm that you are at least 18 years of age and that all information you provide is accurate and truthful.
HITC reserves the right to verify your identity and to suspend or terminate your account if any information provided is found to be inaccurate or misleading.
Cloud Drops are trial campaigns in which HITC sends you a product, free of charge, to trial and provide feedback on. Participation in any Cloud Drop is voluntary.
Products sent to you as part of a Cloud Drop remain the property of the relevant brand until the trial period concludes. You agree not to sell, gift, or otherwise transfer trial products to any third party.
You agree to receive and trial only products that match your declared dietary, religious, and lifestyle profile. Providing inaccurate profile information that results in unsuitable product allocation is a breach of these terms.
As a condition of receiving trial products, you agree to complete the feedback Missions associated with each Cloud Drop. Missions are structured feedback touchpoints at Day 1, Day 3, Day 7, and Day 14 of the trial period.
You agree that all feedback you provide is your genuine, honest opinion. Providing false, misleading, or incentivised reviews is a breach of these terms and may result in account suspension.
By submitting feedback, you grant HITC a perpetual, royalty-free licence to use your anonymised feedback data for the purposes of generating intelligence reports for brands and retailers. Your identity will never be disclosed to brands or retailers.
Cloud Cash is a points-based reward currency issued by HITC. Points have no cash value and cannot be exchanged for money. Points are redeemable only at participating partner retailers as indicated in the HITC app.
HITC reserves the right to adjust point values, redemption rates, and partner retailers at any time with reasonable notice. Points are non-transferable and expire 12 months after the last account activity.
The Cloud Collective revenue-share programme distributes a portion of campaign fees to eligible Clouds on a quarterly basis. Eligibility criteria and distribution amounts are determined by HITC at its sole discretion.
If you submit photographs, written content, or any other media as part of a Mission ("UGC"), you grant HITC and its brand partners a non-exclusive, royalty-free, worldwide licence to use, reproduce, and distribute that UGC for marketing and research purposes.
You confirm that any UGC you submit is your own original work and does not infringe the rights of any third party. You retain ownership of your UGC; the licence above does not transfer ownership.
You agree not to: create multiple accounts; share your account with any other person; use automated tools to interact with the HITC platform; provide false demographic, dietary, or lifestyle information; sell or transfer Cloud Cash or trial products; attempt to manipulate the matching or scoring systems; or engage in any conduct that HITC reasonably determines to be fraudulent or harmful to the platform or its brand partners.
HITC may suspend or terminate your account at any time for breach of these terms, fraudulent activity, or inactivity exceeding 12 months. You may delete your account at any time by contacting us at hello@hitc.co.za.
On termination, any accumulated Cloud Cash that has not been redeemed will be forfeited.
HITC provides the platform and trial products "as is". To the maximum extent permitted by South African law, HITC is not liable for any indirect, incidental, or consequential loss arising from your use of the platform or from trial products received.
Nothing in these terms limits our liability for death, personal injury, or fraud caused by our negligence.
We may update these terms from time to time. When we make material changes, we will notify you via the HITC app and require your re-acceptance before you can continue using the platform. The version number and effective date at the top of this document will always reflect the current version.
Continued use of the platform after a minor update (indicated by a minor version bump, e.g. v1.0 to v1.1) constitutes acceptance of the updated terms.
These terms are governed by the laws of the Republic of South Africa. Any disputes arising from these terms or your use of HITC will be subject to the jurisdiction of the South African courts.
